Introduction

Our vendors are a vital link between our company and our customers. Vendors play a critical role in our effort to provide products and services that satisfy our customers. We value vendors who possess high business ethics and a strong commitment to quality and value. Business success can only be achieved when those involved behave honestly and responsibly.

If you are a vendor new to the YUM organization, and wish to establish a business relationship, please review our rules of engagement and complete our Candidate Information Form. Your company information will be used for internal purposes only, and will be retained in our Candidate Vendor database. As opportunities arise that we feel match your capabilities, we will contact you.

Prior to discussing any business opportunities with you, you will be required to complete our Confidentiality Agreement. Please review the agreement so you will be prepared to sign if asked to do so.

We require all prospective YUM vendors to support our rules of engagement.

Communication

Trusting relations rely on the smooth and orderly transfer of important information. This requires that communication be open and honest. Vendors are encouraged to work through their designated sponsor to schedule meetings with YUM team members. Vendors will have access to YUM team members for appropriate questions as they arise.

Professionalism

We expect all vendors to conduct their activities in an open and professional manner. Our employees are also required to use the highest level of professionalism. We also expect every vendor to accept and adhere to our decisions and directions.

Confidentiality

Our company and our vendors may, in the course of a business arrangement, need to share sensitive information. To that end, all vendors will be required to sign YUM’s standard Confidentiality Agreement prior to any business discussions.

Security

When visiting any of our facilities for sales calls or to attend meetings at Yum request, we expect visiting vendors to sign in at the reception area. Vendors must sign-in and will be issued visitor badges that must be worn at all times. During the visit, each vendor will be escorted throughout our facilities. Contractors or Consultants temporarily under contract to Yum will be issued access card keys with the appropriate level of access for their job responsibilities for the duration of their contract.

Competition

Fair competition is fundamental for a free enterprise. It is the policy of our corporation to use competitive bidding practices in the procurement of all products or services, whenever possible. We act without prejudice with regard to vendor or product, in order to secure the best combination of quality and value. We expect participating vendors to adhere to our direction during the bidding process.

Reciprocity

No vendor is required to acquire our products in order to compete for our business.

References

Our corporate logos or Brand Names shall not be used to endorse directly, by association, or as a user of any vendor products and services.

Ethics

As a foundation of trust and good-faith relationships, we hold our vendors and ourselves accountable to a high ethical standard. Our vendors are selected based on their commitment to operate under that standard. We expect our employees to treat our vendors objectively and fairly.

We will never
» Solicit gifts or other favors (including invitations for entertainment)
» Accept gifts or other favors from any vendor during vendor selection or negotiations
» Accept gifts, or any other favors that are of more than nominal value
» Allow vendors to pay for our travel and/or lodging for any activity
» Engage in any activity in which there could be actual or perceived conflict of interests
